Stanbic Bank Botswana opened an offer of up to 319.36 million existing shares, equivalent to 20% of its capital, on 30 October 2026 at 4.30 pula per share. The sale could be worth as much as 1.37 billion pula and is intended to precede a listing on the Botswana Stock Exchange on 7 December.

The seller is Stanbic Africa Holdings, a wholly owned subsidiary of South Africa’s Standard Bank Group and currently the bank’s sole shareholder. Since the transaction involves shares already in circulation, the proceeds will go to the selling shareholder. If the entire stake is sold, Standard Bank will retain an indirect 80% holding, with new investors owning the balance.

Institutional placement alongside a public tranche

The prospectus divides the offering into a private placement of 255.49 million shares and a public offer of 63.87 million. At the stated price, the public portion is valued at 274.65 million pula. Applications opened on 30 October and close at 4:30 p.m. local time on 27 November, ahead of the allocation process and the planned 7 December market debut.

When the prospectus was published, the bookrunner said it had received irrevocable purchase undertakings equivalent to 240% of the total shares on offer. The final distribution must also establish a sufficiently broad shareholder base to meet the stock exchange’s main-board listing requirements.

Stanbic has operated in Botswana for more than three decades and runs 14 branches and 81 ATMs, according to its official offering page. The transaction is designed to broaden local ownership while leaving Standard Bank in control following a fully completed share sale.
